What you will do.
Compliance Management: Initiate, drive process rigor, and manage compliance under Corporate and other applicable laws, including requirements set by the Reserve Bank of India (RBI).
Stakeholder Collaboration: Work with various internal and external stakeholders to identify and execute opportunities that align with regulatory compliance goals.
Regulatory Compliance: Ensure compliance and liaison with the Ministry of Corporate Affairs (MCA), Registrar of Companies (RoC), Reserve Bank of India (RBI), and other statutory authorities.
Board and General Meetings: Convene and manage Board Meetings and General Meetings, including preparing agendas and minutes.
Corporate Governance: Implement and maintain corporate governance processes and policies to ensure adherence to company practices and procedures.
Statutory Compliance: Support compliance with all statutory requirements and collaborate with internal and external agencies to carry out legal compliance audits.
Advisory Role: Guide functional teams on issues related to the Company Law, particularly concerning document management and statutory compliance.
Compliance Strategy: Anticipate and develop solutions for a diverse range of compliance issues to minimize legal risks and ensure adherence to regulations.
Policy Implementation: Implement policies and procedures to streamline corporate governance and compliance processes.
Regulatory Filings: Ensure timely and accurate regulatory filings and reporting as required.
What we are looking for.
Company Secretary (CS) qualification with 5+ years of experience in corporate compliance, regulatory affairs, and governance.
Extensive knowledge of Company Law, RBI regulations, and other applicable corporate laws.
Strong experience in convening Board and General Meetings, preparing agendas and minutes.
Experience with Initial Public Offerings (IPO) will be a plus.
Excellent communication and interpersonal skills with the ability to work effectively with various stakeholders.
Proven experience in implementing corporate governance processes and policies.
